These Terms of Service (“Terms”) govern your access to and use of the Waystack website located at https://waystacksolutions.com and any related pages, forms, content, or services that link to these Terms.
Waystack is operated by Dionis Gonzalez Ramirez d/b/a Waystack (“Waystack,” “we,” “our,” or “us”).
By accessing our website, submitting a contact form, requesting services, accepting a proposal, or working with Waystack, you agree to these Terms. If you do not agree to these Terms, do not use the website or services.
1. About Waystack
Waystack is a web development service business that helps small businesses plan, build, launch, and maintain websites, full-stack web solutions, integrations, automations, and practical AI workflows.
The website provides information about Waystack’s services and allows visitors to contact Waystack or request a project consultation.
2. Website Use
You may use the Waystack website for lawful purposes only.
You agree not to:
- Use the website for fraudulent, abusive, unlawful, or harmful purposes
- Attempt to interfere with the website’s security, availability, or operation
- Submit false, misleading, or unauthorized information
- Attempt to access systems, data, or accounts without permission
- Copy, scrape, reverse engineer, or misuse website content, code, or materials
- Use the website in a way that violates applicable laws or third-party rights
We may restrict, suspend, or block access to the website if we believe your use violates these Terms or creates risk for Waystack, our customers, or others.
3. Website Content
The content on the Waystack website is provided for general informational and marketing purposes only.
Website content may describe available services, pricing, plan features, sample work, processes, and general service expectations. However, the website does not create a binding project agreement by itself.
Specific project terms are confirmed separately through a written proposal, invoice, statement of work, service agreement, or other written communication accepted by both parties.
If there is a conflict between these Terms and a signed or accepted project agreement, the project agreement controls for that specific project.

Waystack may offer services including, but not limited to:
- Website design and development
- Website leasing
- Rent-to-own website builds
- Custom websites
- Web applications
- Landing pages
- Website maintenance
- Hosting and SSL setup
- Contact form setup
- Basic SEO setup
- Analytics or Search Console setup
- CRM and third-party integrations
- Automation workflows
- AI adoption support
- Technical consulting
Service availability, scope, timeline, pricing, and deliverables may vary by project.
5. Plans and Pricing
Waystack may offer publicly listed pricing for certain plans. Public pricing is subject to change unless already confirmed in writing for an active client agreement.
Current public plans may include:
- Lease Website — starting at $150/month
- Rent-to-Own Website — starting at $300/month for 12 months
- Custom Website / Web App — quoted separately
Public pricing may be described as early client pricing, founding client pricing, promotional pricing, or limited availability pricing. Waystack may change, discontinue, or limit pricing at any time for new clients or future projects.
A price listed on the website does not guarantee that every project qualifies for that price. Final pricing depends on project scope, requirements, timeline, content needs, integrations, and any custom work requested.
6. Project Approval
A project begins only after Waystack confirms acceptance of the project and the required initial payment has been received.
Submitting a form or requesting a project does not require Waystack to accept the project.
Waystack may decline projects for any reason, including scope mismatch, availability, budget mismatch, technical requirements, legal concerns, content concerns, or lack of fit.
7. First Payment Before Work Begins
For monthly plans and most projects, the first payment is due before work begins.
Waystack is not required to start design, development, setup, research, strategy, revisions, or project work until the initial payment has been received and any required project information has been provided.
8. Lease Website Plan
The Lease Website plan is intended for small businesses that want a simple website with a lower monthly cost and no ownership requirement.
Unless otherwise agreed in writing, the Lease Website plan includes:
- Template-based website build
- Up to 5 pages
- Basic color, logo, and content customization
- Mobile-friendly layout
- Contact form
- Hosting and SSL while the lease remains active
- Up to 1 hour per month of minor edits
The Lease Website plan does not include ownership of the website build, source code, template, design system, or underlying files.
Waystack retains ownership of lease websites and related build assets.
The client owns their domain, logo, photos, business accounts, original business content, and other materials they provide.
Lease websites may be canceled according to the applicable agreement or billing arrangement. If a lease is canceled or payment is not made, the website may be taken offline, disabled, or removed from active hosting.
Lease payments do not accumulate toward ownership unless a separate written rent-to-own or buyout agreement is created.
9. Rent-to-Own Website Plan
The Rent-to-Own Website plan is intended for businesses that want a more customized website now and ownership later.
Unless otherwise agreed in writing, the Rent-to-Own Website plan includes:
- Semi-custom or custom website build
- Up to 6 pages
- Mobile-friendly design
- Contact form
- Basic SEO setup
- Analytics and/or Search Console setup, if applicable
- Hosting and SSL during the payment term
- Up to 1 hour per month of minor edits during the payment term
The standard rent-to-own term is 12 successful monthly payments.
Ownership of the website build transfers only after all required payments have been successfully completed and the account is in good standing.
Until the final required payment is completed, Waystack retains ownership of the website build, source code, design system, and related project files, except for client-owned materials.
If the rent-to-own plan is canceled, terminated, abandoned, or unpaid before all required payments are completed, ownership does not transfer unless Waystack agrees in writing to a separate buyout or transfer arrangement.
Payments already made are generally non-refundable unless otherwise stated in a written agreement.
After ownership transfer, the client may request a copy of the website files or transfer support, subject to the project’s technical setup and any third-party platform limitations.
Ownership transfer does not include third-party services, third-party licenses, hosting accounts, paid tools, stock assets, fonts, plugins, software subscriptions, proprietary Waystack tools, reusable frameworks, or pre-existing code unless specifically agreed in writing.
10. Custom Website, Web App, and Integration Projects
Custom websites, web apps, integrations, automations, portals, CRM work, and AI-related projects are quoted separately.
Custom projects may require a separate proposal, statement of work, service agreement, deposit, milestone payment, or payment schedule.
Unless otherwise agreed in writing:
- Work begins after the required deposit or first payment is received
- Project scope is limited to the agreed deliverables
- Extra features, pages, integrations, revisions, or functionality are billed separately
- Ownership or license terms are defined by the accepted proposal or agreement
- Waystack retains ownership of unpaid work until the applicable payment obligations are satisfied
Custom project timelines depend on client responsiveness, scope clarity, content delivery, third-party platform access, technical complexity, and revision cycles.
11. Maintenance and Support
Certain plans may include monthly support or maintenance.
Unless otherwise agreed in writing, included monthly support covers minor edits only.
Minor edits may include:
- Small text updates
- Photo swaps
- Simple content edits
- Minor layout adjustments
- Basic page updates
- Updating business hours or contact details
- Small website content changes
Minor edits do not include:
- Major redesigns
- New custom features
- New pages beyond the included page limit
- Advanced SEO campaigns
- Branding or logo design
- Long-form copywriting
- Paid advertising
- CRM setup
- Complex integrations
- Automations
- Web app functionality
- Emergency work
- Technical troubleshooting caused by third-party platforms
Work outside the agreed plan is billed separately.
Unused monthly edit time does not roll over.
Waystack may determine whether a requested change qualifies as a minor edit or requires a separate quote.
12. Client Responsibilities
The client is responsible for providing accurate, complete, and timely information needed for the project.
This may include:
- Business name
- Logo
- Photos
- Written content
- Service descriptions
- Contact information
- Domain access
- DNS access
- Hosting access, if applicable
- Business account access
- Third-party platform access
- Brand preferences
- Project goals
- Legal disclaimers or industry-specific requirements
The client is responsible for ensuring they have the right to use all content, images, logos, trademarks, copy, media, and materials they provide to Waystack.
Waystack is not responsible for delays caused by missing content, delayed feedback, unavailable access, unclear requirements, or late approvals.
13. Client Content
The client retains ownership of materials they provide to Waystack, including logos, photos, business information, brand materials, written content, and other original materials owned by the client.
By providing content to Waystack, the client grants Waystack permission to use, edit, format, display, reproduce, and publish that content as needed to provide the services.
The client represents that they have the legal right to provide and use the content submitted.
The client agrees not to submit content that is unlawful, infringing, defamatory, misleading, obscene, harmful, discriminatory, or otherwise inappropriate.
14. Waystack Materials and Intellectual Property
Waystack may use pre-existing code, design systems, templates, components, workflows, frameworks, development tools, documentation, processes, and know-how when providing services.
Unless otherwise agreed in writing, Waystack retains ownership of all pre-existing materials, internal tools, reusable code, processes, methods, templates, and systems used to create deliverables.
For lease websites, Waystack retains ownership of the website build and related project files.
For rent-to-own websites, ownership transfers only after all required payments are completed, and only to the extent stated in these Terms or the applicable agreement.
For custom projects, ownership or licensing terms are controlled by the applicable proposal or written agreement.
15. Third-Party Services
Projects may depend on third-party services such as:
- Domain registrars
- DNS providers
- Hosting platforms
- Email providers
- Form backends
- Analytics platforms
- CRMs
- Payment processors
- Booking tools
- Social media platforms
- Advertising platforms
- Automation tools
- AI platforms
- APIs
- Plugins, libraries, or software services
Waystack does not control third-party services and is not responsible for outages, pricing changes, policy changes, security incidents, feature changes, account suspensions, or service limitations caused by third parties.
The client is responsible for third-party fees unless otherwise agreed in writing.
Waystack may provide setup help, integration support, or recommendations, but the client is responsible for maintaining ownership and access to their own business accounts.
16. Domains, Accounts, and Access
The client should own and control their domain name, business email, social media accounts, CRM accounts, analytics accounts, advertising accounts, and other business accounts.
If Waystack assists with setup, the client remains responsible for maintaining accurate account information, payment methods, security settings, and access credentials.
Waystack may request temporary or delegated access to accounts needed to complete work.
The client should not send sensitive passwords through insecure channels unless no alternative is available. Waystack may recommend secure access-sharing methods when appropriate.
17. Hosting and SSL
Certain plans include hosting and SSL while the plan is active.
Hosting availability may depend on third-party infrastructure providers.
Waystack will make reasonable efforts to keep hosted websites available, but does not guarantee uninterrupted uptime, error-free operation, or complete protection from downtime, outages, attacks, platform failures, DNS issues, or third-party service disruptions.
Waystack may perform updates, maintenance, or changes that temporarily affect website availability.
18. Search Engines, SEO, and Performance
Waystack may provide basic SEO setup where included in a plan or project.
Basic SEO setup may include items such as page titles, meta descriptions, heading structure, sitemap setup, indexing support, Search Console setup, or similar foundational work.
Waystack does not guarantee search engine rankings, traffic, leads, sales, conversions, business growth, or advertising performance.
Search engine results depend on many factors outside Waystack’s control.
19. AI, Automation, and Technical Recommendations
Waystack may provide AI adoption support, automation planning, workflow suggestions, integrations, or technical recommendations.
These services are provided for business and technical support purposes only.
Waystack does not provide legal, financial, tax, medical, employment, compliance, cybersecurity certification, or regulated professional advice.
The client is responsible for reviewing, testing, approving, and using any AI workflows, automations, tools, or outputs in a responsible and lawful manner.
20. Reviews, Revisions, and Approval
Waystack may provide drafts, previews, staging links, screenshots, or test versions for client review.
The client is responsible for reviewing work carefully and requesting changes within the agreed revision process.
Approval may be given in writing, by email, by message, by payment, by launch authorization, or by other clear confirmation.
After launch or final delivery, additional changes may be treated as maintenance or extra work depending on the plan and scope.
21. Delays and Abandoned Projects
Waystack is not responsible for delays caused by the client’s failure to provide content, feedback, access, approvals, or required payments.
If a client becomes unresponsive for an extended period, Waystack may pause the project.
Waystack may treat a project as abandoned if the client does not respond, provide required materials, or make required payments after reasonable follow-up.
For abandoned projects, payments already made are generally non-refundable unless otherwise stated in writing.
22. Payments, Late Payments, and Paused Work
Payments are due according to the applicable invoice, proposal, plan, or agreement.
Waystack may pause work, delay launch, suspend support, or take a website offline if payment is late, failed, disputed, reversed, or unpaid.
Waystack may require payment of overdue amounts before resuming work or restoring service.
Clients are responsible for keeping payment methods and billing information current.
Unless otherwise agreed in writing, fees are non-refundable once work has begun, services have been provided, or monthly service periods have started.
23. Cancellation
Cancellation terms depend on the plan or project agreement.
For lease websites, cancellation may result in the website being taken offline because Waystack retains ownership of the leased website build.
For rent-to-own websites, cancellation before all required payments are completed means ownership does not transfer unless Waystack agrees in writing to a separate transfer or buyout.
For custom projects, cancellation may require payment for work already completed, time already spent, expenses incurred, or committed project resources.
Monthly support or maintenance services may be canceled according to the applicable agreement or billing arrangement.
24. Refunds
Payments are generally non-refundable unless otherwise agreed in writing.
This includes deposits, setup fees, monthly service fees, lease payments, rent-to-own payments, maintenance fees, and custom project payments.
Waystack may, in its sole discretion, offer partial refunds, credits, or alternative resolutions, but doing so does not create an obligation to provide similar treatment in the future.
25. Public Portfolio and Attribution
Unless the client requests otherwise in writing, Waystack may reference completed work in its portfolio, case studies, proposals, social media, or marketing materials.
Waystack may display the client’s business name, website link, screenshots, general project description, and non-confidential project details.
Waystack will not intentionally publish confidential business information without permission.
Waystack may include a small footer credit or source comment on websites unless otherwise agreed in writing.
26. Confidentiality
Each party may receive non-public information from the other during a project.
Waystack will make reasonable efforts to protect confidential client information and will not intentionally disclose it except as needed to provide services, work with service providers, comply with law, or protect Waystack’s rights.
Confidential information does not include information that is publicly available, already known, independently developed, or received lawfully from another source.
27. Testimonials and Feedback
If you provide feedback, testimonials, reviews, comments, or suggestions to Waystack, you grant Waystack permission to use them for business, marketing, improvement, or promotional purposes.
Waystack may edit testimonials for length or clarity, provided the meaning is not materially changed.
28. No Guarantee of Results
Waystack will make reasonable efforts to provide professional services, but does not guarantee specific business outcomes.
Waystack does not guarantee:
- Search rankings
- Traffic volume
- Lead volume
- Sales
- Revenue
- Conversion rates
- Ad performance
- Customer acquisition
- Platform approval
- Third-party integrations remaining available forever
- Compatibility with every browser, device, plugin, platform, or future software update
29. Disclaimers
The website and services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.
Waystack disclaims warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and error-free operation.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
30. Limitation of Liability
To the fullest extent permitted by law, Waystack will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost business opportunities, downtime, reputational harm, or business interruption.
To the fullest extent permitted by law, Waystack’s total liability for any claim related to the website or services will not exceed the amount paid by the client to Waystack for the specific service giving rise to the claim during the three months before the claim arose.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
31. Indemnification
You agree to defend, indemnify, and hold harmless Waystack from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- Your use of the website or services
- Your violation of these Terms
- Your violation of applicable law
- Your content, materials, images, trademarks, copy, or information provided to Waystack
- Your infringement or alleged infringement of third-party rights
- Your misuse of a completed website, integration, automation, AI workflow, or technical deliverable
32. Privacy
Your use of the website and services may involve the collection and use of personal information.

33. Third-Party Links
The website may include links to third-party websites, tools, platforms, or resources.
Waystack is not responsible for third-party websites, content, terms, policies, products, services, availability, or security.

34. Changes to Services
Waystack may update, modify, suspend, or discontinue any part of the website or services at any time.
Waystack may update service descriptions, pricing, plan details, included features, or availability for future clients or future projects.
Active projects are governed by the applicable accepted proposal, invoice, agreement, or written terms in effect for that project.
35. Changes to These Terms
Waystack may update these Terms from time to time.
When changes are made, the “Last Updated” date will be revised.
Continued use of the website or services after updated Terms are posted means you accept the updated Terms.
36. Governing Law
These Terms are governed by the laws of the United States and the state, territory, or jurisdiction where Waystack is legally based, without regard to conflict-of-law rules.
37. Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve the issue informally and in good faith.
A party should provide written notice describing the dispute and allow a reasonable opportunity to respond before pursuing formal legal action, unless urgent legal action is necessary.
Specific dispute resolution procedures may be included in a separate client agreement, proposal, or statement of work.
38. Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in effect.
The invalid provision will be modified or interpreted to accomplish its intended purpose to the fullest extent permitted by law.
39. No Waiver
Waystack’s failure to enforce any provision of these Terms does not waive the right to enforce that provision later.
40. Entire Agreement
These Terms, together with any applicable proposal, invoice, statement of work, service agreement, Maintenance Terms, and Privacy Policy, form the agreement between you and Waystack regarding the website and services.
For paid client work, the accepted proposal, invoice, statement of work, or service agreement may include additional or different terms.
